Legal Assistant – Writing Exercise Please complete the exercise below. If you have any questions, do not hesitate to ask. Background: Your manager has sent you an e-mail requesting help on a rush project. Please prepare the items requested below and send your response to me by return email within 3 business days. From: Adam Zapel (azapel@amazon.com) To: Legal Assistant Time: 9:07 a.m. Monday (March 7, 2011) Re: FWD: 2011 CODECRUSHERS EXPO Sorry, I need to ask you to drop everything this morning and help with a rush project. We’re hosting a conference for 200 web developers onsite tomorrow, and I just found out we don’t have an agreement in place with the caterer. I’m forwarding below a client e-mail outlining the business deal. I’m also attaching a form we recently used with another caterer. I’m tied up in meetings for most of the day so I need you to run with this as far as you can. Please do these three things: (1) Review the draft catering agreement and correct any grammatical, spelling, or typographical errors and confirm that the terms match those listed in the email from our client, Gail Force. Please send me a clean version to be sent to the caterer as well as a redline with tracked changes in MS-Word for my final review. If you have questions for me on particular points, please note them in comments on the redline. (2) Draft an e-mail (to be sent by me) to Gail, an Amazon software engineer, explaining briefly that we do need to get a contract in place before the event starts – the liability risk is too high without one, and trying to put one in place after the fact won’t work. But the form is pretty standard and should not be hard for the caterer to accept. It will be faster for Gail to track down the Amazon signatures than to route them through Legal per our usual process. Explain to Gail how and when she should expect to receive the contract back from the caterer and that she needs to make sure that her group’s VP (Thurston Howell III) is available to sign. Also, we need to get both signed originals back from her for filing and routing back to the caterer. (3) Draft a cover letter to the caterer for the client’s signature with instructions to execute two originals (and fill in any missing info) and return them both to Gail for our countersignature this evening. Fax, courier, and PDF are all fine as long as it gets here. Politely but firmly make sure they understand that we can’t use them without a contract in place, due to timing we won’t be able to negotiate changes, etc. I’ll have a break at 2 p.m. to look at your drafts. Let’s plan to send the agreement to the caterer by the courier deadline this afternoon. From: Gail Force (dcheetham@amazon.com) To: Adam Zapel (azapel@amazon.com) Time: 6:21 a.m. Monday (March 7, 2011) Re: 2011 CODECRUSHERS EXPO Adam, Do we really need to do a contract? The caterer has agreed to provide everything we asked for (see e-mail below). The conference starts tomorrow and they are already prepping everything. I’m worried that this will slow things down and we’ll be stuck with a lot of hungry developers. (Believe me, that’s not something you want to see.) If we need to do a contract as a formality, can we just wait until after the event and draw one up then? Amazon.com Confidential 1 Thanks, G. This is to confirm the details as we understand them: On Tuesday you expect 180 people at lunch (11:30am) and 200 at dinner (6:00pm), and 170 people for the Wednesday lunch (11:00am).
