Learning Activity: due 11:59 pm ET, Thursday Background: The GC owners are aware of the importance of contracts to both buy and sell goods and services. They are reviewing the Uniform Commercial Code (UCC), Article 2, that covers contracts for sales of goods. The GC owners understand that the terms in their purchase contracts (i.e., contracts to purchase products from EPI) will require very different terms from their sales contracts reselling these cleaning products purchased from EPI. First, the owners want to focus on understanding their rights and obligations associated with reselling EPI cleaning products. Winnie and Ralph ask you to prepare information to help the GC understand risks and possible liabilities related to the resale of EPI cleaning goods to customers. You developed a hypothetical scenario for analysis and explanation for discussion with the GC owners. Background Facts You Need To Know: Office Cleaning Pros (Pros), a local company, emailed GC that it wanted to purchase some cleaning products. The email stated the following sales details: Pros wanted to purchase 6 cases of Carpet Re-New cleaning solution from GC the price is $200 per case of Carpet Re-New Delivery was to be on or before April 1, 2019 Delivery was to be made to Pros storage warehouse facility GC did not respond to the email, but on April 1, GC delivered 6 cases of cleaning solution products to Pros office headquarters, located next door to Pros’ storage warehouse facility. Pros moved the cleaning solution products from its headquarters to its storage warehouse facility Three days later, Pros inspected the 6 cases GC had delivered and discovered all 6 cases contained Floor Re-New cleaning solution, not Carpet Re-New as specified in the sales contract. Instructions Report You Need To Prepare: Prepare a report to Winnie and Ralph to use for discussion with the GC owners. Referring to the scenario above, review UCC, Article 2, and respond to the following: 1. Analyze and explain whether a contract was created between GC and Pros under the UCC. 2. Evaluate and discuss the rights and obligations of Pros following the inspection. 3. Evaluate and discuss the rights and obligations of GC, under the circumstances, following delivery and Pros’ inspection of the goods. Tips for Formatting Report: The report should use the following format Report TO: Winnie James, Ralph Anders FROM: your name RE: GC Sales Contracts DATE: 1. 2. 3. • • • Create a new thread for each posting. Use correct, complete sentences, in paragraph format, unless otherwise instructed. Use assigned course materials to complete discussion responses. Use in-text citations and a Reference List in APA format to cite the course resource(s) used - an in-text citation cannot exist without a corresponding Reference List, and a Reference List cannot exist without a corresponding in-text citation. Post responses here in public discussion forum. Put the following in the subject line: Discussion + your name. Address each classmate by name, and sign your name to each posting, please. Write in-depth, comprehensive responses that promote further discussion beyond merely agreeing/disagreeing - refer to the "Winning Discussion Responses" module in Content for examples. Discussion: Part 1 due Thursday, 11:59 pm ET; Part 2 due Sunday, 11:59 pm ET Review Content modules: Writing Introductory Sentences and Paragraphs Writing Concluding Paragraphs How to Support Arguments and Positions Tips for Formatting and Structuring Parts 1 and 2: • Write in complete sentences in paragraph format. • Use in-text citations citing to relevant assignment materials. • Label parts as appropriate. • Double space; 12-point Arial or Times Roman font. • Introductory Sentence: Begin with an introductory sentence or very brief paragraph that states your conclusion to the questions asked. • Concluding Sentence: End the discussion with a concluding sentence or a very brief paragraph that summarizes your conclusion/what you discussed. • Support Arguments and Positions: Please refer to the module in Content, "How to Support Arguments and Positions". Part 1: At the latest Lunch and Learn seminar for TLG consultants, Winnie begins the seminar with a discussion of the case of a new client, Johnson, owner of Tip Top Cleaning. Background Facts: Johnson contracted to purchase 5 cases of Window Sheen cleaner from GC at a price of $75.00 per case. The written sales agreement was signed by GC and Johnson and included all necessary terms for a valid and enforceable contract. GC timely delivered to Johnson's place of business. Johnson accepted delivery and stored the goods in a garage storage facility at the business facility, without inspection. Three weeks later, Johnson opened the cases and discovered the liquid cleaners were frozen. Johnson wants GC to replace the goods. You must begin the discussion by reacting to the following question. A. Analyze and explain whether GC should be required to replace the Window Sheen products and why or why not. You must consider and apply the Uniform Commercial Code rules in your analysis. Part 2. React to one colleague's comments in Part 1.

UNIFORM COMMERCIAL CODE

Uniform Commercial Code
After analyzing the case study, GC is not required to replace the window sheen products.
This is because of several factors. For instance, the two parties, i.e., buyer and seller, had agreed
to the contract, the price and quantities were agreed on, both parties signed the contract. The
agreement signed included all the necessary terms for a valid and enforceable contract, and the
seller promptly delivered the ordered goods in time. Therefore, the fault entirely lies with
Johnson, and hence GC is not obligated to replace the products in question. This can be better
explained using the provisions of the Uniform Commercial Code on the contracts for the sale of
goods (King et al., 2011).
In simple terms, the uniform commercial code refers to a set of laws that govern sales and
commercial transactions. Any uniform code has a primary purpose, that of establishing a
standard body of laws across the different jurisdictions. A jurisdiction must adopt the provisions
of the uniform commercial code for it to be binding. In the United States, the universal
commercial code has been accepted in a majority of states.
In the universal commercial code, the provisions for the contracts of sale of goods is
contained in article 2. Goods can be said to be things that can be easily identified during contract
formation and can also be moved. Thus, animals, cars, computers, boats, and ...
