Scenario 1
Karen and Alex can form a partnership business structure with limited liabilities since
they invite investors to give their funds for the business. As a partnership, the partners will run
the business activities and have access to resources from investors. They also are the primary
decision-makers but ensure that investors get returns on their funds once they start the business
operations. Partnerships allow the partners to bring different expertise to the business and share
both profits and losses equally. Partnerships have unlimited liabilities, implying that they can be
held liable for debts (Murray, 2019). In this case, the investors are providing funds to the
business, and in return, they want to share the profits. However, if the company loses, Karen and
Alex are liable, especially if their partnership is not limited.
In forming the partnership, they must select a business name and register with relevant
local, state, and federal agencies and authorities. Further, they should negotiate and implement
the partnership agreement and then get any mandatory local licenses. They also need to
determine their partnership's tax obligations and ensure that they register it as required (Dewitt,
2019). For instance, the partnership should possess an Employer Identification Number
(EIN)from the Internal Revenue Service (IRS) for tax obligations. Karen and Alex should
consider the investors' legal considerations putting their resources in the business, and ensure
