Corporate Governance is the set of rules, regulations, and processes in an organization
that involves share and stakeholders, employees, and customers. Whenever the organization fails
or does not cope-up with the above procedures, the organization may have enormous disastrous
consequences for a business.
When referring to poor corporate Governance, there are many set of rules an organization
must allow or take into the note to avoid failures; the major issues: 1)Properly Skilled members (employees of the organization must be highly skilled in their
respective roles).
2)Ineffective Rules and Regulations (lack of members in committee and committee meetings).
3)There should be perfectly organized audit members and independent boards.
4)The management should not include misrepresentations to auditors and the committee.
5)Negligence of the financial results and red flags by the auditors and the board committee.
6) The board or organization members should avoid conflict of interest; that is when the member
has own personal interest, which conflicts with th terms and conditions.
7)The committee should have oversight on the employees and the future of the organization.
8)Accountability has to be maintained accurately because the organization is accountable to the
public, stakeholders, and shareholders; even a small sector in the organization fails to submit
proper accounts, it may result in the organization in danger and would also make the
shareholders lose interest in the organization for their investment.
9)The organization has to maintain transparency with their profits and losses to the investors.
