Joe agreed to build a custom motorcycle for Diane. The agreement includes a clause that "no assignment shall be valid without the consent of the other party." Diane asked for that clause, because she feels Joe is uniquely qualified to take care of the special type of customizing she wants.

Contract law has got two major concepts. The two concepts are assignments and
delegations. An assignment is the process of transferring rights, responsibility and accountability
from one party to the other party. One can transfer their rights to receive payments or services
done by a third party. This implies that they have been assigned the contract rights. The most
important thing to know is that rights can be assigned and not delegated. It just stipulates that one
can transfer their benefits to another party under a contract but not the obligation. In this case,
Joe wants to transfer his rights to Bill. In the initial contract with Diane, all the rights were given
to Joe to make the motorcycle hence he will have to transfer the same rights to Bill.
A delegation on the other end is a process of transferring duties to another third party.
