Case Brief 16.2
1.Explain how Mr. Grappolini breached his fiduciary duty.
Mr. Grappolini took business for himself, yet he assured other parties that he was in
charge of their sales for the olive oil. This was an opposition to the demands of a fiduciary that
seeks action in the best interest of other parties.
2.What lessons can you learn about contracts, suppliers, and product launches from the
case?
I learned that one must be cautious not to spend too much money on product launches.
Instead, they should wait for assurance of the stability of the product since small breaches could
even send away suppliers who intended to deal with the product. Also, it is vital to involve
lawyers to mediate rather than just taking the promises of potential partners in business.
3. Evaluate the ethics of Mr. Grappolini’s conduct. Why did Vegetal’s officers refer to Mr.
Grappolini as a “bad boy”
Mr. Grappolini was branded a bad boy because of breaching the fiduciary responsibilities
he promises and going ahead to let Lucini have confidence in him.

based on the interests of both of them. This was, however, not the case since Ambrose did not
reveal their entire plan in the deal.
2. What are the indications that there was a partnership created?
Early signs of a partnership between these parties began in the year 2009 when Blumberg
and Ambrose worked together to make the CampDoc System. They then moved on as a
partnership when they advertised and sold it to other camps.
3. What list of lessons could you develop for two people who are starting a business based
on what happened in this case?
For a successful partnership business, the parties must set ground rules upon which they
would get directions for operations and conflict resolution. They should also have a set of
expectations they intend to meet. Moreover, they should involve legal counsels to guide them in
every step they take in the business.
Case Brief 17.4
1.What must the shareholders prove to recover?
The shareholders must prove that the board of directors did not use a lucrative salary and
benefits to their advantage to settle the employment deal for Mr. Ovitz. In line with this, they
have to prove that Mr. Eisner was the sole influencer of their decision to hire Mr. Ovitz. Lastly,
