Introduction
The negotiation will revolve around a large tract of land located in Metro Davidson
County, Downtown Nashville, Tennessee. It is 689 acres with over 1 mile on the Cumberland
River. Over one year of research has been done on this parcel by my team and I. Formerly not
for sale, it has come on the market for $7.8 million. The participants will be Trinity Advisory
Group (TAG), of which I am the senior partner, Trinity Development Partners, LLC (TDP), a
member managed project management company, and one of three potential passive equity
investors. The investor will own the land 100% in a Special Purpose Entity (SPE) allowing
control of the actual property and its use as an equity part of the development financing. The
investor group will be the majority owner of an entity formed for the development project and
TDP will be the minority partner and responsible for all management of the development and
contractors. The purpose of the acquisition will be to simultaneously negotiate a development
partnership and contract with the equity investors to create and develop a three phase residential
and mixed use project beginning with a land use plan and creating the infrastructure necessary to
entitle estate lots, waterfront lots, a marina and a golf course/golf club. Initial cost estimates for
entitlement of the property are between $100 and $150 million.

large real estate and business development, a Tennessee and specifically Nashville Metro
Davidson County owner and broker of a real estate and a development company, contacts with
large real estate investors and investor groups, commercial banking experience and strong city
