PPC, LLC controlling stockholders and the Board of Directors have contacted Trinity Advisors
regarding a potential OD intervention into their company. They have requested a preliminary
analysis of the current condition and the steps for entering into an agreement with Trinity
Advisors for a full OD intervention. Trinity Advisors has reviewed public information and
prepared an initial report for the primary clients’ review. Trinity Advisors welcome the
opportunity to meet with the primary clients to develop a relationship, clarify client goals,
explore the commitment of the company to change, further define roles and generally discuss the
mutually beneficial constructs of a client/consultant relationship. (Anderson, 2019).
1. Organization
PPC, LLC is a closely held software development company with a past record of successful
software development related to computer operating systems. Senior management and the board
of directors control 90% of the company shares. The company has recently lagged in the industry
as a result of competitive threats from new start-up companies’ innovative styles and technology
and managements failure to keep pace with technological advances. Management and

shareholders have reaped strong profits in the past and have failed to re-invest in the company. In
recent years, profits have reached zero and the company has failed to retain quality employees,
recruit new hires and pay wage increases and employee benefits commensurate with industry
standards. The company survives on royalties of previous ground-breaking software inventions
and holds patents on these necessary product lines.
2. Current Conditions
The company currently maintains an office and research complex in downtown Silicon Valley
California and has 75 full time employees. The management team is heavy in middle
management and administrative personnel comprise an inordinate 25% of the permanent
workforce. Little or no outside consultants are currently working with the company in
development and less than 10% of the workforce are under the age of 25 years. Formerly a
market leader, the company has fallen into a structure of billing for use of foundational software
for which they hold patents expiring in 5 years. Senior management is paid at the rate that more
successful companies pay for senior management.
3. Intervention
The company controlling shareholders and the board of directors, primary clients, recently
agreed to bring in Trinity Advisors to conduct a diagnosis of the organization and system wide
review as an external consultant and then, after discussion with senior management and the
board of directors, set about an Organizational Development Intervention as an internal
consultant being compensated in consulting fees and stock options in the company upon mutual
agreement and taking responsibility for day to day company management.
