Conglomerate Inc. will be liable to pay the instrument to the ASPCA. This is because
the conglomerate company was the one which breaches the contract in which they had
originally signed. Here there are two main issues as to why Conglomerate is the one liable for
payment. The first issue will focus on the company itself and the other will focus on the
doctrine of utmost faith.
According to section 6 of the insurance contract, the effect of material non-disclosure
or a material misrepresentation by one party, the contract is declared null and void. it is,
therefore, clear that the conglomerate company did not adhere to the rule stated in section 6
of the insurance contract and therefore did not act in utmost good faith that is they went
ahead and presented a defective tractor to their client. It is the duty of utmost good faith to
